Neyva Terms of Service
Welcome to Neyva!
These Terms of Service (referred to in this document as the “Terms”) establish the rules governing your use of our video-centric platform — an online space in which users can locate popular creator-uploaded videos, stream them, share them and explore all content without charge — and they constitute a legally binding contract between you and Neyva. By accessing or using any of our platform Services, you confirm that you accept and undertake to observe every provision contained in these Terms. Should any part of these Terms be unacceptable to you, you must immediately discontinue accessing and using our platform Services.
Important Notice
Please be advised that this agreement contains a binding arbitration clause, which is set out in full in Section 18. Except for certain narrow categories of disputes, such as claims concerning intellectual property infringement, both you and Neyva agree that all disputes shall be resolved through binding arbitration, and each party waives the right to commence or participate in class action lawsuits.
1. Eligibility Requirements
- Minimum Age: You must be at least eighteen years old to register an account or to access Neyva’s full range of platform Services. Certain premium features, should they be introduced in the future, may impose a higher minimum age, and this will be communicated clearly to you upon your first access to the feature in question.
- Legal Capacity: Your use of Neyva’s services constitutes your confirmation that you have full legal capacity to conclude a binding agreement, to honour every term set out in this document, and to obey all applicable local, national and international laws and regulations.
- Entity Use Authorization: If you access Neyva on behalf of a company or a government body, you confirm that you are fully authorised to commit that entity to all of the terms appearing in these Terms.
- Minor Access Prohibition: Any person under the age of eighteen is strictly forbidden from registering an account or using Neyva’s platform Services. We reserve the right to permanently terminate accounts that we reasonably believe are operated by underage users, and such termination may occur without prior notice.
2. User License
- Personal Use License: Neyva hereby grants you a personal, worldwide, royalty-free, non-transferable license to access and use all of our platform Services — including finding trending user-submitted videos, streaming, sharing and browsing content — solely for their intended purposes. This license remains valid only for as long as you continue to fully comply with all provisions of these Terms.
- Automatic Updates: Our platform Services may automatically download and install software updates, such as fixes for video playback issues and newly released features. You have the option to disable automatic updates through the system settings of your mobile device.
- License Restrictions: Without the prior written consent of Neyva’s management team, you may not copy, modify, sell, reverse engineer or sublicense Neyva’s proprietary software and services.
3. Content License to Neyva
- Ownership of Your Content: When you create, upload or share any media — including videos, public comments, photos and captions, collectively referred to as “Your Content” — you retain full legal ownership of all of Your Content. In addition, you grant Neyva a worldwide, royalty-free, sublicensable license to host, store, display, stream, format adjust (for example, optimizing video resolution for different device screen sizes) and distribute Your Content. This license is used exclusively to support the operation, maintenance and improvement of our video platform, including making the videos you upload available to other users on the platform.
- License for Public Content: For all media that you publish in the public areas of the platform, such as trending video feeds and public comment sections, you grant Neyva a perpetual, worldwide, royalty-free, sublicensable license to publicly broadcast, display, reproduce and create derivative works from that content. By way of example, your uploaded video may be included in a curated “Top Viral Videos” compilation. Under this license, we may also display your full name and profile image alongside your published content, and no additional compensation shall be payable to you in respect of such display.
- Content Moderation Rights: Neyva has the right to review, remove or modify any of Your Content at any time, for instance by deleting videos that violate these Terms. However, we assume no legal obligation to actively monitor all user-generated content on the platform. You bear sole responsibility for all of Your Content that you post on Neyva.
- Advertising Consent: In exchange for being able to use the video browsing and content sharing features free of charge, you consent to Neyva showing commercial advertisements throughout all platform Services.
4. Your Responsibility for Uploaded Content
- Full Liability for Content: You bear full legal responsibility for all of Your Content that you publish on Neyva. You must ensure that your uploaded content does not infringe any third-party rights — including copyright in the background music used in your videos and trademark rights — and does not violate any applicable local or national laws, such as laws prohibiting defamation or obscenity.
- Prohibited Content: You may not upload or share content that is illegal, harmful, discriminatory (on the basis of race, gender, religion or other protected characteristics), graphically violent, sexually explicit, or that promotes harassment, exploitation or criminal activity. This prohibition extends to child sexual abuse material (CSAM), hate speech, and footage of illegal acts being committed.
- Reporting Violations: Illegal or inappropriate material, including violent videos, can be reported by you through our built-in reporting tool or by email to our official service inbox: [email protected]. Once a breach of these Terms has been confirmed, we may take down the offending content and suspend or terminate the accounts responsible.
5. Privacy of Your Data
The protection of your personal privacy is a matter of the highest priority for our team. Our official Privacy Statement, accessible within the Neyva mobile application, sets out in detail how we collect, use and share your personal data in connection with our video platform Services. By using any Neyva service, you give your full consent to all data practices described in that Privacy Statement.
6. Prohibited Conduct
While you are using Neyva’s Services, the following activities are strictly forbidden:
- Harassing, threatening, intimidating or impersonating other users. Examples include posting abusive comments on other creators’ videos and pretending to be another person.
- Interfering with the platform’s security systems, circumventing access controls, or deploying automated tools such as bots to scrape video data, inflate video view counts artificially or disturb the normal operation of the platform.
- Distributing malicious software, spam messages or illegal material — including child sexual abuse material (CSAM) — through any part of our platform Services.
- Putting Neyva’s features to commercial use without the prior written approval of our management team. Examples include selling physical goods through video comments and advertising external services.
- Violating third-party intellectual property rights, such as uploading videos that contain copyrighted music without permission or circumventing the digital rights management (DRM) systems built into the platform.
- Engaging in money laundering, fraud or the exploitation of vulnerable people. This covers all activity involving child sexual abuse material (CSAM), to which we apply a strict zero-tolerance policy.
Zero-Tolerance Child Safety Policy
Neyva maintains an unwavering zero-tolerance policy with respect to all child sexual abuse material (CSAM) on our platform. Please report any suspected prohibited material immediately. Our team will remove all related content, suspend or permanently ban the responsible account, and cooperate fully with law enforcement authorities during any investigation.
7. Copyright Policy
The intellectual property rights of creators and rights holders are respected in full by Neyva. If you hold a good faith belief that any content on Neyva, such as a user-uploaded video, infringes your copyright, kindly send a written infringement notice to [email protected] that includes every item listed below:
- Your physical or electronic signature.
- A thorough description of the copyrighted work that you assert has been infringed.
- The precise location of the infringing material, including the full video URLs or directions for finding it within the app.
- All of your contact information: your name, postal address, phone number and email address.
- A declaration made under penalty of perjury that you have a good faith belief that the use of the material is not authorised by the copyright owner, its agent, or the law.
Registered users who are repeatedly found to have committed verified copyright infringement may have their Neyva accounts terminated permanently.
8. Account Rules
- Account Security: You are fully responsible for keeping your account login credentials secure, including maintaining the confidentiality of your password. You may not share your login information or access your Neyva account through unauthorized third-party software.
- Account Usage Rules: You may not register multiple duplicate accounts unless explicitly permitted by official platform guidelines, sell or transfer your account, or reactivate accounts that were disabled for policy violations.
- Reporting Unauthorized Access: Should you detect any sign that your account has been accessed without authorisation, such as unfamiliar videos uploaded without any action on your part, please reach our support team without delay at [email protected].
9. Content Moderation
- Automated and Human Review: Neyva makes use of two review systems: automated content detection software, which is designed to identify violent or sexually explicit video content, together with trained human moderators who review all published content for policy violations. We are nonetheless unable to guarantee that every type of prohibited content uploaded by users will be detected with 100% accuracy.
- User Reporting: You may flag unsuitable content, including harmful videos and spam comments, through our built-in reporting tool. Our moderation team endeavours to complete the review of all reported violations within 24 hours; once a policy breach is confirmed, it may remove the violating content or suspend accounts either temporarily or permanently.
10. In-App Purchases and Payments
Should Neyva introduce optional premium features or virtual products at a later date — for example, ad-free video streaming or access to exclusive locked trending content:
- Transparent Pricing: Every price is displayed clearly to you before you complete any purchase. All payment processing is carried out by authorised third-party payment providers such as the Apple App Store and Google Play Store.
- No Refund Policy: Unless applicable consumer protection laws, such as EU consumer regulations, require otherwise, all completed purchases are final and non-refundable. Subscriptions renew automatically unless you cancel through your app store account at least twenty-four hours before the next billing date. Cancelling your subscription does not give you the right to a refund for any unused part of your current subscription period.
- EU Consumer Rights: Users living in the European Union may request a full refund for subscription purchases within fourteen calendar days of the purchase. This refund right exists only if you have not accessed or used any premium features during that fourteen-day period.
11. Mobile Data Charges
All mobile data charges, text messaging fees and other telecommunication costs that you incur while using Neyva’s Services — for instance, streaming or uploading videos over a cellular network — are entirely your responsibility. For information about data rates and billing, please contact your mobile service provider.
12. Anti-Slavery and Anti-Human Trafficking Policy
Every form of slavery, human trafficking and exploitation of vulnerable people is prohibited by Neyva. Please report any suspected violation to our official email address [email protected]. Our management team will launch a full investigation, remove all violating content, and cooperate fully with the relevant law enforcement authorities.
13. Anti-Fraud and Compliance
- Scam Prevention: Never send money, disclose financial information such as credit card details, or take part in suspicious financial transactions with other platform users. Report any confirmed scam — such as users asking for payment through video comments — to our service inbox at [email protected].
- Anti-Money Laundering (AML) Compliance: In order to satisfy mandatory anti-money laundering legal obligations, Neyva may request government-issued identity documents. If you refuse or fail to supply the identification requested, your access to your account may be suspended temporarily.
14. Service Changes and Account Termination
- Service Modification Rights: Neyva may, at any time and with or without notice, add new features such as in-app video editing tools, withdraw existing features, suspend service temporarily, or bring all Neyva services to an end. We will make reasonable efforts to inform registered users about major changes to core services, such as the permanent removal of the core video-sharing function.
- Account Suspension and Termination: For confirmed violations of these Terms, prolonged account inactivity, or harmful user conduct, our management team may suspend your account temporarily or terminate it permanently, and may revoke all access to our Services, with or without prior written notice. Once your account is terminated, you lose access to all platform features, including your uploaded videos and any premium services you purchased.
15. Indemnification
You will indemnify, defend and hold Neyva, together with its affiliated companies, directors, employees and authorised third-party agents, harmless from all claims, damages, liabilities, costs and legal fees (including full attorney fees) that arise from your use of Neyva’s Services, from any Your Content posted by you on the platform (such as copyright infringement lawsuits resulting from your uploaded videos), or from any confirmed breach of these Terms.
16. Disclaimers
- As-Is Service: All Neyva Services are supplied on an “as is” and “as available” basis, carrying no warranties of any kind, whether express or implied. We make no promise of uninterrupted service, error-free video playback, or complete accuracy and safety of all user-generated content on the platform.
- No Liability for User-Generated Content: Neyva bears no legal responsibility for offensive, unlawful or misleading content posted by other users, including harmful videos and false comments. You access all user-generated content on the platform entirely at your own risk.
17. Limitation of Liability
Neither Neyva nor its partner entities shall bear liability for indirect, consequential or punitive damages of any kind. The total aggregate liability of Neyva for all claims shall not exceed the greater of one hundred United States Dollars (USD 100) or the total amount you paid to Neyva in the twelve consecutive calendar months preceding the claim.
18. Binding Arbitration
- Dispute Resolution: Most disputes between you and Neyva will be settled through binding arbitration rather than through court litigation. The arbitration is administered by an arbitration forum agreed between the parties, such as USIETAC, in line with that forum’s official procedural rules.
- Class Action Waiver: Each dispute is resolved through individual arbitration. Consolidated or class action lawsuits are not allowed under this agreement.
- Opt-Out Right: Within thirty calendar days of first using the platform Services, you may opt out of this binding arbitration clause. To opt out, send a written notice to Neyva’s management team by email at [email protected] or to the physical address shown in the Neyva mobile app. The notice must include your full name, the email address registered to your account, and a clear statement that you are opting out of the arbitration clause.
19. Intellectual Property Statement
Every video that a registered user uploads to the Neyva platform must be an original work created independently by the uploading user. The uploader is required to hold full intellectual property ownership rights in the uploaded content, including, without limitation, copyright, trademark, patent and trade secret rights. Registered users are forbidden from uploading or publishing content that infringes third-party intellectual property rights, including, without limitation, the unauthorised copying, adaptation, editing or clipping of video, audio, text or image files owned by third parties. Where our moderation team confirms that content is infringing, Neyva has the immediate right to delete the violating material permanently and reserves the right to pursue full legal liability against the user responsible. If Neyva suffers measurable financial losses as a direct result of the infringing conduct, the responsible user must fully compensate Neyva for all losses incurred.
20. Governing Law
These Terms are governed exclusively by the civil laws of the State of Delaware, to the exclusion of its conflict of law principles.
21. Severability
Should a court of competent jurisdiction find any provision of these Terms unenforceable, that provision will be severed and removed from the agreement, while all remaining provisions continue in full legal force and effect.
22. Supplementary Terms
Certain platform features, such as official creator monetization programs, may be accompanied by separate supplementary terms. You will be presented with these supplementary terms upon your first access to the relevant feature, and they become legally binding parts of this agreement as soon as you accept them.
23. General Terms
- Entire Agreement: These Terms of Service, together with our Privacy Statement and any supplementary feature terms, represent the entire agreement between you and Neyva and supersede all prior oral or written agreements.
- No Third-Party Beneficiaries: This agreement confers no enforceable rights upon any third party, including other Neyva users.
- Non-Waiver: If Neyva’s management team elects not to enforce a particular provision of these Terms on a single occasion, this does not waive our right to enforce the same provision in future cases of verified policy violation.
- Assignment: You may not assign or transfer your rights under these Terms without the prior written approval of Neyva’s management team. Neyva, however, may freely assign and transfer its rights and obligations under this agreement at its sole discretion.
- English Language Priority: Where any conflict exists between translated versions of these Terms and the original English version, the original English version shall be the sole version carrying legal authority.
